Affiliate Program Terms and Conditions

General:

1. Individual resellers, commercial entities and non-profit organizations may apply for the CTdeveloping, LLC (hereafter "CTdeveloping") Affiliate Program.
2. All Affiliate applications are subject to approval or rejection by CTdeveloping.
3. Non-Qualifying Accounts: Please do not apply if your business or website promotes the following kinds of activities. By applying, you are stating that your business or website does not directly promote or endorse these activities.
   1. Websites, businesses and individuals that promote sexually explicit material or violence do not qualify as Affiliates.
   2. Websites that promote discrimination based on race, sex, religion, national origin, and physical disability, will not be accepted.
   3. Websites that promote illegal activities will not be accepted.
4. Spam: Affiliate agrees to NOT SEND UNSOLICITED OR SPAM mail via email or newsgroups to promote CTdeveloping's products. You may post only to newsgroups and forums within the rules of each newsgroup. Spamming is grounds for immediate termination of your account with a cancellation of any pending commissions. You will be subject to legal action since spamming can damage the image of CTdeveloping and its products.
   
5. Trademark Use: CTdeveloping reserves all rights in or to its trademarks, but such trademarks may be used by Affiliate in accordance with this Agreement. You may not display our related logo, image, name or trademark in any way that may be distasteful, defame, or misrepresent our brand. We have the right to specify how and if you may use any CTdeveloping trademark. Notwithstanding your use of CTdeveloping trademarks as described here, CTdeveloping reserves all ownership rights in its trademarks. Agreement Provisions:

1. Overview of Program:
   1. Minimal setup may be required, including modification of your website and creation of a PayPal account to receive payments.
   2. NO other fees are charged by CTdeveloping.
   3. NO reseller license is required.
   4. NO minimum commitment. Quit at any time subject to first giving written notice of termination to CTdeveloping.
   5. NO minimum referral, regardless of how little you refer to us, you will receive your commission payment every month
   6. You MAY be required to provide tax information including your tax id number or social security number to CTdeveloping for tax reporting purposes.
2. Independent Contractor:
   The relationship between CTdeveloping and Affiliate established by this Agreement is that of independent contractors. CTdeveloping and Affiliate shall each conduct its respective business at its own initiative, responsibility and expense, and shall have no authority to incur any obligations on behalf of the other, except as otherwise provided herein.
3. Commission and Payment:
   CTdeveloping will pay Affiliate a commission on each referred customer resulting in a new purchase for a PDFtypewriter license (other products may be added later). Note: We reserve the right to modify this commission structure from time to time, you will be emailed a link to this agreement every month at which point it is your responsibility to review the terms of this agreement.
   1. Commission payment is based on the dollar amount purchased per month. Commission is paid on total amount purchased by customer at the time of initial purchase. Your payment will be equal to your percentage rate times the gross dollar amount for purchases referred to CTdeveloping for qualifying products. For example, if your percentage rate is 20% and $100.00 in purchases are referred to CTdeveloping, your payment would be 20% * $100 = $20.00
      Your percentage rate is determined by the gross dollar amount for purchases referred to CTdeveloping for qualifying products in the previous calendar month.

      30%	$1000-$2499.99 USD
      35%	$2500 USD or more

   2. Gross dollar amount for purchases referred to CTdeveloping for qualifying products is not cumulative between months. It cannot be carried from month-to-month.
   3. Subject to confirmation, Affiliate commissions will be paid monthly regardless of amount
   4. All commission payments will be made in U.S. dollars by PayPal. It is solely your responsibility to maintain an active PayPal account which is able to receive funds at the email address provided to CTdeveloping.
   5. Most fees related to payment of Affiliate commissions will be covered by CTdeveloping. This means we may elect pay you a sum slightly larger than the calculated Affiliate commission amount in order to cover the transaction fees charged to you by PayPal, with the resulting net sum received by you being equal to the calculated Affiliate commission amount described above. We are NOT responsible for other fees such as those possibly related to transferring money from your PayPal account to your personal or business bank account (however, in most cases this transfer is free, see www.paypal.com for details).
   6. If a purchase with CTdeveloping arranged via an Affiliate is charged back, reversed, canceled or refunded for any reason, the related Affiliate commission shall be returned and due from the Affiliate to CTdeveloping not later than thirty (30) days after the date of such event. Failure to cause timely repayment of such commission amount may result in cancellation of your Affiliate account, forfeiting of Affiliate commissions and/or legal action against you.
   7. Commissions will be paid on a monthly basis until this Agreement is canceled by either party.
   8. Commission will NOT be paid on purchases made for you or for your company. This program can not be used by the Affiliate or any of its agents, employees or contractors to obtain a discount for any of those parties on purchases of any CTdeveloping products for their own uses. Attempting to do so may result without prior notice in cancellation of your account, withholding of commission payments, demand for repayment of commission payments, forfeiture of outstanding commission payments and/or legal action.
   9. If Affiliate Agreement is canceled, outstanding commissions for current period at time of cancellation shall be paid in the next monthly payment so long as you have not violated terms of this Agreement.
4. Additional Terms of Agreement:
   1. This Agreement remains in effect until canceled by either party.
   2. Commissions earned through the date of expiration or cancellation of this Agreement will remain payable only if the purchase is not canceled or refunded by the referred customer(s) and Affiliate has not violated this Agreement.
   3. Payment of the commission: We may withhold payment to Affiliate for a reasonable time in order to ensure that the correct amount is paid.
5. Disclaimer:
   CTdeveloping will make every reasonable effort to track and pay commissions for all sales that apply to Affiliate. However, CTdeveloping is not responsible for unforeseen technical problems, Acts of God, acts by third parties, or other events outside our reasonable control that may temporarily disrupt or diminish this service. CTdeveloping is not responsible for lost tracking information that may or may not result in loss of an Affiliate payout. User settings, use of different computers, or other browsing habits can block the tracking cookie that we place on users computers in order to track Affiliate referrals. This is out of CTdeveloping's control and we are not responsible for loss of profit or Affiliate payout because of this. Currently payouts are only made on referrals which are converted to PDFtypewriter sales in which the customer pays via our credit card checkout. (Sales made through PayPal, check, or other means, and sales of PDFconverter, PDFencrypt, PDF Document Server, and other CTdeveloping products may not be currently tracked and you may not be given a commission for these referrals.)
6. Link Requirements:
   Subject to the General and other provisions of this Agreement, Affiliate may link to any page on the main CTdeveloping website (www.ctdeveloping.com).
   You must always include the www subdomain when linking meaning:
   http://www.ctdeveloping.com/?ref=YOUR_REF_ID is correct
   http://ctdeveloping.com/?ref=YOUR_REF_ID is NOT and will result in the referral NOT being tracked
   If you wish to link to say, the PDFtypewriter info page, the link would be:

7. Privacy:
   Please refer to CTdeveloping's website for our latest privacy policy.
8. Warranty Disclaimer:
   CTdeveloping makes no warranties expressed or implied with regard to Affiliate Program except as outlined in this Agreement.
9. Limitation of Damages:
   CTdeveloping's aggregate liability arising under or with respect to this Agreement or the Affiliate Program shall not exceed the total commissions paid or payable by CTdeveloping under this Agreement.
10. Cancellation:
    CTdeveloping reserves the right to cancel an Affiliate's account for any reason if deemed necessary or appropriate in the sole and absolute discretion of CTdeveloping. If we cancel your account and you have not violated the terms of this Agreement, we will pay you for any outstanding commissions earned prior to such cancellation.
11. Governing Law:
    This Agreement shall be governed by the laws of the State of California and the United States.
